  • "Services" — any product, tool, feature, or service made available by Paygatex.io through the Website.
  • "Personal Data" — has the meaning given in our Privacy Policy.
  • "KYC/AML" — Know Your Customer and Anti-Money Laundering procedures described in our AML/KYC Policy.
  • "Content" — text, data, graphics, logos, and other materials made available on the Website.

3. Eligibility and Account Registration

3.1. To use the Services, you must be at least 18 years old and have full legal capacity to enter into a binding agreement under the laws applicable to you.

3.2. You must not use the Services if you are located in, or a resident of, a jurisdiction where the Services are prohibited by applicable law, or if you are subject to applicable trade or economic sanctions.

3.3. When registering an Account, you must provide accurate, current, and complete information and keep it up to date. You are solely responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account.

3.4. You must notify us immediately at if you become aware of any unauthorized use of your Account or any other breach of security.

3.5. We reserve the right, at our sole discretion, to refuse to open an Account, to suspend or terminate an existing Account, or to decline to provide any Service, including without providing a reason, where required for legal, regulatory, risk-management, or security purposes.

4. Description of Services

4.1. Paygatex.io provides a platform enabling registered Users to access the Services described on the Website, which may include, among others, payment processing, account management, and related tools.

4.2. Services are provided on an "as is" and "as available" basis. We do not guarantee uninterrupted, error-free, or secure access to the Website or the Services at all times.

4.3. Nothing on the Website or in the Services constitutes financial, investment, tax, or legal advice. You are solely responsible for evaluating whether use of the Services is suitable for your circumstances, including any related tax obligations.

4.4. Finality of Transactions and Chargebacks. Once confirmed, all Transactions processed through the Services are final and are not subject to reversal, dispute, or cancellation by the User, except where a deposit is identified by us as fraudulent or unauthorized. Where a Transaction is funded by a payment card, you remain fully and solely responsible for any chargeback initiated by the cardholder's issuing bank, including any associated fees, penalties, or losses, and we may deduct such amounts from your Account balance or future settlements.

4.5. Exchange Rates. Where a Transaction involves the conversion of funds between different currencies (including between fiat currency and Digital Assets), the exchange rate applied is based on prevailing market rates from a recognised third-party rate source, plus our fee or margin as disclosed on the Website. The applicable rate is fixed at the moment the Transaction is executed and may differ from rates available at other times or through other providers.

5. Identity Verification (KYC/AML)

5.1. Identity verification is not required by default to access our core payment processing Services. We apply a risk-based approach and may request identity or business verification (KYC/KYB) at any time — including, without limitation, prior to onboarding as a merchant, where a specific transaction or activity pattern triggers our risk indicators (such as transaction volume, unusual activity, or a sanctions/PEP screening match), or where required by applicable law. 5.2. Where verification is requested, you must promptly provide accurate and complete information and supporting documents. We may suspend or limit access to the Services until the requested information has been provided and verified.

5.3. We reserve the right to refuse, limit, suspend, or terminate the Services where we have reasonable grounds to suspect money laundering, terrorist financing, fraud, or any other unlawful activity, or where required to comply with applicable law.

6. User Obligations and Prohibited Activities

6.1. You agree to use the Website and Services only for lawful purposes and in accordance with these Terms.

6.2. You must not use the Website or Services to:

  • Engage in money laundering, terrorist financing, or sanctions evasion;
  • Engage in fraud, market manipulation, or any deceptive practice;
  • Facilitate illegal gambling, illegal trade in goods or services, or any other criminal activity;
  • Provide false, misleading, or inaccurate information to us;
  • Attempt to gain unauthorized access to our systems, other Users' accounts, or data;
  • Interfere with or disrupt the operation of the Website or Services, including through malware, denial-of-service attacks, or similar means;
  • Use the Services on behalf of a third party without our prior authorization, or use payment instruments that do not belong to you;
  • Circumvent, disable, or otherwise interfere with security-related features of the Website or Services.

6.3. A non-exhaustive list of business categories and activities that are prohibited from using the Services is set out in Appendix 1 to these Terms.

6.4. Breach of this Section may result in immediate suspension or termination of your Account, in addition to any other remedies available to us.

7. Fees

7.1. We may charge fees for certain Services, as described on the Website or otherwise communicated to you before you use the relevant Service.

7.2. Transaction Fee Schedule. Unless a different rate is agreed with you individually (for example, in a separate commercial agreement), our standard processing fee is calculated on your total monthly transaction turnover and applied as a single blended rate to that month's entire turnover, as follows:

The applicable tier is determined by your cumulative transaction turnover within the calendar month; the corresponding rate is applied to your entire turnover for that month, not only to the portion within the tier. Turnover is reset at the start of each calendar month unless otherwise agreed.

7.3. We reserve the right to change our fees, including the Transaction Fee Schedule, at any time. Changes will apply prospectively and will not affect transactions already completed.

7.4. You are responsible for any fees charged by third parties involved in processing your transactions, such as banks or payment providers.

8. Intellectual Property

8.1. The Website, including its design, text, graphics, logos, and underlying software, is owned by or licensed to Paygatex.io and is protected by applicable intellectual property laws.

8.2. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Website and Services for their intended personal or business purposes, subject to these Terms. No other rights are granted.

8.3. You must not copy, modify, distribute, sell, or lease any part of the Website or its Content, nor reverse-engineer or attempt to extract the source code of any software, unless permitted by applicable law.

9. Risk Disclosure

9.1. Use of the Services may involve financial risk, including the risk of loss of funds due to market volatility, third-party failures, or technical issues. You acknowledge that you use the Services at your own risk.

9.2. Paygatex.io does not act as your financial advisor and assumes no fiduciary duty to you. You are solely responsible for evaluating the risks associated with any transaction before proceeding.

10. Limitation of Liability

10.1. To the maximum extent permitted by applicable law, Paygatex.io shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Website or Services.

10.2. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

10.3. Where liability is not excluded, our aggregate liability to you for any claim arising out of or in connection with these Terms shall not exceed the amount of fees paid by you for the specific Service giving rise to the claim in the twelve (12) months preceding the claim.

11. Suspension and Termination

11.1. You may stop using the Services and close your Account at any time by contacting us at , subject to the completion of any pending transactions and obligations.

11.2. We may suspend or terminate your access to the Services, in whole or in part, at any time, with or without notice, if we reasonably believe you have breached these Terms, if required by law or a competent authority, or where necessary to protect the security or integrity of the Website or other Users.

11.3. Sections of these Terms that by their nature should survive termination (including intellectual property, risk disclosure, limitation of liability, and governing law) will survive.

12. Confidentiality and Data Protection

We process your Personal Data in accordance with our . By using the Services, you acknowledge that you have read and understood how your data is collected, used, and shared.

13. Force Majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, war, civil unrest, labour disputes, or failures of telecommunications or internet infrastructure.

14. Governing Law and Dispute Resolution

15. Miscellaneous

15.1. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

15.2. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

15.3. These Terms, together with the Privacy Policy, Cookie Policy, and AML/KYC Policy, constitute the entire agreement between you and Paygatex.io regarding your use of the Website and Services.

The following is a non-exhaustive list of business categories, goods, services, and activities that are prohibited from being processed through, promoted on, or otherwise associated with the Services:

  1. Weapons, ammunition, and explosives;
  2. Narcotics, controlled substances, and drug paraphernalia;
  3. Prescription pharmaceuticals sold without valid licensing or a legitimate prescription;
  4. Any content that sexualizes or otherwise exploits minors;
  5. Human trafficking or exploitation of any kind;
  6. Trade in human organs or body parts;
  7. Endangered species or protected wildlife and related products;
  8. Stolen goods, or goods with removed or altered serial numbers;
  9. Counterfeit or pirated goods;
  10. Forged documents, government-issued identification, or currency;
  11. Unlicensed gambling, betting, or lottery services;
  12. Ponzi, pyramid, or other fraudulent investment schemes;
  13. Unlicensed financial, investment, or money-transfer services;
  14. Unregistered or unlicensed securities offerings, initial coin offerings, or token sales;
  15. Malware, hacking tools, or services facilitating unauthorized access to computer systems;
  16. Services designed to obscure the origin of funds for illicit purposes, including mixing or tumbling services associated with sanctioned or illicit addresses;
  17. Individuals, entities, or jurisdictions subject to applicable international sanctions;
  18. Terrorism financing or support for extremist organizations;
  19. Equipment or items designed to defeat law-enforcement or security systems;
  20. Illegal streaming or distribution of copyrighted content;
  21. Adult content involving non-consensual acts, or content that is otherwise illegal in the applicable jurisdiction;
  22. Unregulated binary options, high-risk forex, or similarly speculative trading platforms;
  23. Trade in protected cultural or archaeological artifacts;
  24. Multi-level marketing schemes that do not comply with applicable law;
  25. Any other goods, services, or activity that is illegal under the laws applicable to you or to Paygatex.io.
